News: As per exchange filings, HDFC Bank’s board has approved the appointment of former Finance Secretary Rajiv Kumar as an Additional Independent Director for a four-year term effective June 30, 2026, subject to shareholder approval, and as Part-time Chairman for a three-year term, subject to approval from the Reserve Bank of India (RBI). The appointment follows the resignation of former chairman Atanu Chakraborty and comes after the completion of the bank’s independent legal review. Rajiv Kumar, a former IAS officer and ex-Finance Secretary, played a key role in banking sector reforms, including public sector bank recapitalisation, consolidation, NPA resolution, governance reforms and financial inclusion initiatives, and has also served as India’s Chief Election Commissioner.

View: The appointment of a new chairman further reduces governance-related uncertainty after the completion of the independent legal review. Clarity on the MD & CEO reappointment remains the next key catalyst for the stock

Impact: Positive
