Mr. Rakesh Jha is an Executive Director on the Board of ICICI Bank Limited since September 2, 2022, and heads the Bank’s Retail Banking business, including Retail, Rural & Agriculture, and SME segments. He also serves on the Boards of ICICI Lombard General Insurance Company Limited and ICICI Venture Funds Management Company Limited.

With the ICICI Group since 1996, he has held leadership roles across financial reporting, strategy, asset-liability management, and investor relations. Before his current role, he was the Group Chief Financial Officer of ICICI Bank.

Mr. Jha holds a management degree from the Indian Institute of Management, Lucknow, and an engineering degree from the Indian Institute of Technology, Delhi.

Mr. Ajay Kumar Gupta has been an Executive Director on the Board of ICICI Bank Limited since March 15, 2024. He oversees credit policy formulation and underwriting for Retail and Business Banking, along with Operations, Technology, and Data Sciences and Analytics functions.

Associated with ICICI Bank since 1991, he has extensive experience across Corporate Banking, Project Finance, SME, Debt Service Management, Credit & Policy, and Operations.

Mr. Gupta is a Chartered Accountant, qualified in 1991.

Mr. Ashvin Parekh is an Independent Director and a member of the Institute of Chartered Accountants of India (ICAI). He has extensive experience in business strategy, corporate planning, institutional strengthening, and business transformation across banking, insurance, pension, and capital markets in both domestic and global contexts.

He serves on the Boards of ICICI Lombard General Insurance Company Limited and ICICI Securities Primary Dealership Limited, and is a designated partner at Ashvin Parekh Advisory Services LLP.

He has been a Director on our Board since August 25, 2016.

Mr. Subrata Mukherji is an Independent Director of our Company. He holds a bachelor’s degree in Arts and a master’s degree in Management Studies from the University of Mumbai. He also holds a master’s degree in Accounting and Finance from the London School of Economics and Political Science and has completed an executive programme at the University of Michigan, School of Business Administration.

Mr. Mukherji has had a long association with the ICICI Group. He served as Executive Director of ICICI Limited from 2001 to 2002 and, following the merger, as Executive Director of ICICI Bank Limited from 2002 to 2004. He was the Managing Director and Chief Executive Officer of ICICI Securities Limited from 2004 to 2007, which was later renamed ICICI Securities Primary Dealership Limited. He subsequently served as Chairman of its Board from August 2007 to May 2009. He was also the Managing Director and Chief Executive Officer of our Company from August 2007 to January 2009.

Additionally, he worked with ICICI Foundation for Inclusive Growth, serving as Co-President from September 2010 to March 2011 and as President from April 2011 to July 2014.

He has been a Director on our Board since November 29, 2017.

Ms. Vijayalakshmi Iyer is an Independent Director of our Company. She holds a postgraduate degree in Commerce and Economics from the University of Mumbai and is a Fellow of the Indian Institute of Banking and Finance (CAIIB).

She has previously served as Executive Director of Central Bank of India and as Chairperson and Managing Director of Bank of India. She was also a Whole Time Member (Finance and Investment) at the Insurance Regulatory and Development Authority of India (IRDAI).

She has been a Director on our Board since November 29, 2017.

Dr. Gopichand Katragadda is the Founder and CEO of Myelin Foundry, an AI company focused on transforming human experiences and outcomes in media and entertainment, industrial IoT and automotive sectors. He is an Independent Director at Bosch India Limited and serves as Vice President of the IET Board of Trustees, UK. He also advises the NASSCOM Center of Excellence for Data Science and AI and chairs the CII Knowledge Management Summit. He is an active investor and advisor to early-stage deep tech startups with a focus on data science and AI.

Before founding Myelin Foundry, Dr. Katragadda served as the Group Chief Technology Officer and Innovation Head at Tata Sons until January 2019. Prior to this, he was Chairman and Managing Director of GE India Technology Centre. He is also the immediate past Chairman of the CII National Technology Committee and is a GE-certified Six Sigma Master Black Belt.

He holds a BE in Electronics Engineering from Bangalore University and MS and PhD degrees in Electrical Engineering from Iowa State University. He has a total of 33 years of experience.

Ms. Sandhya Gadkari Sharma is an Independent Director of our Company. She holds an MBA from NMIMS and a commerce degree from Sydenham College, Mumbai.

With a 38-year career in finance, she spent 22 years at ICICI Ltd. and ICICI Bank, where she worked across lease finance, project appraisal, term lending and the resolution of more than 220 NPA cases. She later spent 16 years at Mahindra & Mahindra Ltd., first in M&A supporting global acquisitions and then in Corporate Finance, where she led project evaluations and raised funds through multiple instruments including ECBs and debentures.

She played a key role in revitalizing Investor Relations, strengthening engagement with domestic and international institutional investors and earning recognition in global investor surveys. In her final seven years at M&M, she led the Corporate Governance Cell, modernizing the Code of Conduct and introducing policies such as Anti-Bribery, Gifts and Entertainment, and Social Media guidelines. She also established a strong governance framework, training strategy and digital ethics platform that reached more than 14,000 employees, and rolled out a comprehensive Corporate Governance program across M&M Group companies, including several listed entities.

Mr. T. K. Srirang is the Managing Director and Chief Executive Officer of ICICI Securities Limited. He has been with the ICICI Group since 2001. Prior to this role, he worked with ICICI Bank as Group Chief Human Resources Officer, where he headed the Human Resources function & Infrastructure Management Services Group for the Bank.

He is a member of the Governing Council of ICICI Foundation for Inclusive Growth and serves on the Governing Body of the International Institute of Information Technology, Bangalore (IIIT-B).

Mr. Srirang holds an MBA in Personnel Management and Industrial Relations and a bachelor’s degree in Industrial Engineering. Before joining ICICI Bank, he worked with ICI India Limited and Coca-Cola India Limited.

Mr. Ajay Saraf has been an Executive Director on the Board of ICICI Securities since May 2011. He oversees the Retail and Private Wealth businesses, along with Customer Service and Operations.

He is a member of the Institute of Chartered Accountants of India (ICAI) and the Institute of Cost and Works Accountants of India (ICWAI).

He joined the ICICI Group in 2002 and has worked across various functions within the Group. Prior to ICICI Bank, he was associated with American Express Bank Limited.

Mr. B. Prasanna is an Executive Director at ICICI Securities and heads Corporate Finance and Institutional Equities. Prior to this role, he led Global Markets covering Sales, Trading and Research at ICICI Bank Limited. He has been part of the ICICI Group since 1993.

He has served on several committees formed by the RBI, SEBI and FIMMDA, including SEBI’s CoBoSAC, which focuses on the development of the corporate bond market.
