Amber announced two share-swap agreements through its material subsidiary IL JIN Electronics

ICICIdirect Research 19 Oct 2026 DISCLAIMER

News: Amber announced two share-swap agreements through its material subsidiary IL JIN Electronics to acquire the remaining stakes in Ascent Circuits and Power-One Micro Systems, making both wholly owned subsidiaries upon completion. IL JIN will acquire the remaining 1.5% stake in Ascent Circuits for ~13 cr, a PCB manufacturer, and 40% stake in Power-One Micro Systems for ₹176 cr, which manufactures solar inverters, UPS, battery energy storage systems (BESS) and EV chargers. The transactions will be executed through the issuance of compulsorily convertible preference shares (CCPS), strengthening Amber’s ownership and control without cash consideration. Separately, as announced earlier, Amber appointed Satendra Singh as CEO and Whole-Time Director of IL JIN for five years, effective October 16, 2026. Singh brings over 35 years of experience in electronics manufacturing, supply chain and EMS, including his previous role as CEO of Syrma SGS Technology.

View: The acquisition of the remaining stakes in Ascent Circuits (FY26 revenue: ₹402 cr) and Power-One Micro Systems (FY26: ₹270 cr) is strategically positive for Amber Enterprises, particularly in the context of a potential IL JIN IPO. Full ownership of these subsidiaries would simplify the group structure, consolidate earnings and provide investors with greater visibility into IL JIN’s electronics manufacturing, PCB and power electronics businesses. A potential listing could unlock value for Amber shareholders by enabling a more transparent valuation of its electronics manufacturing business, which may command a better valuation multiple from Amber’s broader consumer durables operations. The appointment of Satendra Singh, former CEO of Syrma SGS Technology, further strengthens IL JIN’s leadership ahead of its next growth phase.

Impact: Positive
