  • Total Income: Stood at Rs 21,060.79 million in Q1FY27, reflecting a YoY growth of 15.80% compared to Rs 18,186.91 million in Q1FY26. On a QoQ basis, it saw a marginal decline of 0.94% from Rs 21,260.93 million in Q4FY26.
  • Profit Before Tax (PBT): Reported at Rs 1,563.61 million for Q1FY27, a YoY increase of 19.94% compared to Rs 1,303.70 million in Q1FY26. Sequentially, it decreased by 13.05% from Rs 1,798.21 million in Q4FY26.

  • Total Comprehensive Income: Recorded at Rs 1,217.35 million in Q1FY27 compared to Rs 1,115.68 million in Q1FY26 and Rs 1,344.21 million in Q4FY26.

Business Highlights:

  • Acquisition of Tipper Body Business: On August 4, 2026, the company entered into a Business Transfer Agreement for the acquisition of the India Tipper Body Business of Hyva (India) Private Limited on a slump sale basis for an aggregate consideration of approximately USD 5.65 million.
  • Aerospace Sector Acquisition: During the quarter, the step-down wholly owned subsidiary, Belrise UK Holdings Limited, acquired 100% of the issued share capital of Chester Hall Precision Engineering Holdings Limited (UK) for a consideration of £13.20 million. The target entity is engaged in precision engineering for the aerospace, aviation, space, and defence sectors.
  • Fund Raising via QIP: The company completed a Qualified Institutions Placement (QIP) on July 17, 2026, allotting 7,72,72,727 Equity Shares of Rs 5 each at an issue price of Rs 220 per share, aggregating to Rs 17,000 million. This followed the Board's approval on May 24, 2026, to raise funds up to Rs 20,000 million.
  • Final Dividend Recommendation: The Board of Directors recommended a final dividend of Rs 0.55 per equity share for the financial year ended March 31, 2026 (FY26).
  • Authorised Share Capital: The Board proposed an increase in the authorised share capital from Rs 500,00,00,000 (divided into 100,00,00,000 equity shares of Rs 5 each) to Rs 550,00,00,000 (divided into 110,00,00,000 equity shares of Rs 5 each), subject to shareholder approval.
  • Amalgamation Schemes: The company is proceeding with a fresh Scheme of Amalgamation for its wholly owned subsidiary, H-One India Private Limited, into Belrise Industries Limited. Additionally, a scheme involving Badve Autocomps Private Limited and Eximius Infra Tech Solutions Private Limited has received "no adverse observations" from NSE and BSE as of July 3, 2026.

Shrikant Badve, Managing Director of Belrise Industries, said: “Q1FY27 was a strong start to the year, with Belrise continuing to deliver growth while simultaneously broadening the base for its next phase of expansion. Our focus remains on moving beyond individual components towards larger assemblies and proprietary products, while increasing our content per vehicle and deepening our relationships with leading OEMs.

Manufacturing revenue grew 20% to Rs 21,979 million, while EBITDA stood at Rs 2,933 million, with margins at 11.5%, keeping us on track with our commitment to deliver growth without compromising the underlying profitability of the business.

To support this ambition, we also strengthened our financial capacity during the quarter through the Rs 17,000 million QIP. The fundraise provides us with the agility to invest in capacity and capabilities, and pursue acquisitions that can accelerate our strategic objectives for long-term growth.

The business transfer agreement of Hyva India's tipper-body business is a good example of this approach. It adds three state-of-the-art manufacturing facilities and expands our commercial vehicle capabilities into heavy fabrication and provides access to established customer relationships. More importantly, it strengthens our ability to participate in larger, integrated vehicle systems and supports our progression towards a Tier-0.5 supplier.

Our order wins during the quarter further demonstrate this shift. We are gaining more wallet share with existing customers, adding new OEM relationships and taking on a broader range of products from chassis, suspension and braking systems to complex assemblies for EV localization.

The renewable energy order further demonstrates that our sheet-metal and manufacturing capabilities can be deployed beyond automotive applications. Importantly, these opportunities are increasing the breadth of our addressable market while deepening our role with customers.

We remain confident in our FY27 roadmap, with mid-teens revenue growth, broadly stable EBITDA margins and disciplined capex. With a stronger balance sheet, expanding capabilities and a growing order pipeline, our focus remains firmly on converting these investments into sustainable growth and higher value creation over the medium term.”

Belrise Industries Limited was incorporated as `Badve Engineering Private Limited`, as a Private Limited Company dated September 25, 1996 issued by the Additional Registrar of Companies, Maharashtra at Mumbai. Thereafter, the status of the Company was converted into a Public Limited and the name was changed to `Badve Engineering Limited` dated February 18, 2008, at Mumbai. The Company name again was changed to `Belrise Industries Limited` dated August 29, 2022 vide Incorporation Certificate issued by the RoC, Mumbai. Belrise Industries Limited is an automotive component manufacturing company based in India offering a diverse range of safety critical systems and other engineering solutions for two-wheelers, three-wheelers, four-wheelers, commercial vehicles and agri-vehicles. It specialize in precision sheet metal pressing and fabrication (i.e., the process of joining sheet metal components to create unified structures for assembling vehicle subsystems and bodies). The product includes metal chassis systems, polymer components, suspension systems, body-in-white components, exhaust systems, electric vehicle powertrain components and solar panel components. In 1997, the Company established a production plant in Aurangabad. In 2001, it set up another manufacturing plant for a large two-wheeler manufacturing OEM; set up production plant in Ranjangaon near Pune in 2004; established plant in Uttarakhand for two-wheeler manufacturing OEM in 2007. The Company later, ventured into four-wheeler commercial vehicles space for supply of chassis frames (CV) in 2010; ventured into four-wheeler commercial vehicles parts supply space for Ashok Leyland Limited in 2011; started supplying chassis to Honda Motors & Scooters India Private Limited and components to VE Commercial Vehicles Limited in 2012; ventured into a new product line of suspension systems with acquisition of the suspension division from an international OEM near Pune in 2016 . In 2017, Company established a production plant facility for supplying frames and silencer parts, in Gujarat. It commenced supply of components to Jaguar Land Rover Automotive PLC (JLR) in Europe. It established a wholly owned subsidiary in the name of `Badve Engineering Trading FZE` in UAE in 2017-18. The Company ventured into the EV space with supply of suspension system in 2022. It ventured into renewable energy products and has started supplying Exhaust Systems for a CNG-powered vehicle in 2024. The Company launched the Initial Public Offer by raising funds aggregating upto Rs 2150 Crore and by issuing 238,888,888 Equity Shares of face value of Rs 5 each through Fresh Issue.
