Sun Pharmaceuticals to acquire Organon: Acquisition at the expense of growth

Sun Pharma has entered into a definitive agreement to acquire Organon (a global healthcare company formed through a spinoff from Merck) in all-cash transaction deal at an enterprise value of US$ 11.75 billion. The transaction values the asset at ~1.9x CY26E sales and ~6x CY26E EBITDA, which seems fair.
The acquisition will be accretive for Sun on Sales/EBITDA/PAT level and will strengthens Sun’s global footprint by adding a biosimilars portfolio and expanding presence in markets such as China and South Korea. 
Although the global aspirations are being met with this acquisition, the asset comes with structural challenges as ~2/3 of Organon’s business is Generics/ established brands whose combined sales have been declining over years while only one-third of the portfolio (Innovative+ biosimilar) drives growth and which will eventually dilute Sun’s consolidated growth trajectory over time.
In addition, Sun will assume ~US$9.25–9.75 billion of debt, transitioning from a net cash position (~US$3.2 billion) to a net debt position of ~US$8.5 billion, increasing leverage materially.
While Sun has a strong track record of acquisitions and execution, the key monitorable will be cross-selling synergies and in-licensing to sustain growth. Given the elevated leverage and limited margin of safety, we remain cautiously optimistic.
We have assigned HOLD Rating on the stock with TP of ₹1960 per share
