HDFC Bank has concluded its internal review of the MSRDC deposit mobilisation arrangement

News: As per exchange filings, HDFC Bank has concluded its internal review of the MSRDC deposit mobilisation arrangement undertaken in 2017 and 2021. Based on the recommendations of a Special Disciplinary Committee of Independent Directors, the Board concluded that the conduct of the employees involved constituted business overreach rather than mala fide action, personal enrichment or improper motive. However, considering potential divergence from applicable RBI directions, the bank has issued warning letters and monetary penalties of ₹1 lakh each to three senior employees — the Managing Director & CEO, Chief Financial Officer and Group Head–Retail Assets — while warning letters were issued to other employees involved. The Board has also directed that the matter be communicated to the RBI.

View: The findings remain a governance concern, as the Board has acknowledged business overreach and potential divergence from RBI directions involving senior management, while the matter has also attracted regulatory and overseas investor scrutiny. Although the internal review ruled out mala fide intent or personal enrichment, the episode could keep governance and compliance practices under watch in the near term, particularly given the earlier concerns around the arrangement and management oversight. That said, the underlying amount involved at ₹45 crore is relatively small compared with the bank’s overall balance sheet and earnings, limiting any direct financial impact.
