BAJAJ AUTO INTERNATIONAL HOLDINGS BV (BAIH), ANNOUNCED A MATERIAL FINANCIAL INTERVENTION
News- In a press release, Bajaj Auto Limited, through its wholly owned Dutch subsidiary Bajaj Auto International Holdings BV (BAIH), announced a material financial intervention to support and potentially take control of Austrian motorcycle giant KTM (existing shareholding pegged at ~37.5%). The initiative involves a €450 million secured term loan to KTM AG and a €150 million subscription to convertible bonds issued by Pierer Bajaj AG, amounting to a total investment of €600 million (~₹5,820 crore). This is in addition to € 200 million already infused, taking the total liquidity support to €800 million. This funding ensures compliance with a restructuring plan approved by an Austrian court, under which KTM creditors are to receive 30% of their claims by May 23, 2025. The move aims to avert KTM's shift from self-administration to insolvency and marks a pivotal step in Bajaj’s transition from a passive minority investor to a prospective majority stakeholder in the high-performance motorcycle company. This funding will help KTM restart operations.
View- Bajaj Auto’s aggressive push into KTM’s operations represents both a strategic opportunity and a calculated risk. With KTM battling a severe liquidity crunch, Bajaj’s timely intervention not only safeguards its existing investment but also sets the stage for broader control and influence over a prestigious global brand in the premium two-wheeler segment. This aligns with Bajaj’s aspirations to deepen its footprint in high-end international markets, leveraging KTM’s robust portfolio and global distribution. However, the success of this bold maneuver hinges on regulatory approvals and effective post-restructuring integration. The company has been an excellent allocator of capital in the past with highly capital efficient business operations at Bajaj Auto. The things are still fluid on the KTM front and we await greater commentary from the management in the next week scheduled Concall to have meaningful take on the transaction.
