Introduction

KSH International Limited is undertaking an Initial Public Offering (IPO) as a 100% Book Built Offer, as outlined in the Red Herring Prospectus (RHP) dated December 10, 2025. The Offer is structured as a combination of a Fresh Issue of Equity Shares and an Offer for Sale (OFS). The Fresh Issue involves the issuance of Equity Shares of face value of ₹5 each, aggregating up to ₹4,200.00 million. The Offer for Sale comprises the sale of Equity Shares of face value of ₹5 each, aggregating up to ₹2,900.00 million. The total Offer size comprises of the Fresh Issue and the OFS, aggregating up to ₹7,100.00 million. The primary objectives for which the capital raised through the Fresh Issue is proposed to be utilised include funding capital expenditure requirements for expanding manufacturing capacity. Additionally, the proceeds are earmarked for the repayment or pre-payment of certain borrowings undertaken by the company, and for general corporate purposes.


Business Model

The company began operations in 1981 by manufacturing magnet winding wires in Taloja, Raigad, Maharashtra. Over four decades, they have expanded into producing a wide range of standard and specialised magnet winding wires tailored to customer requirements. Their portfolio includes round enamelled copper/aluminium wires, paper-insulated rectangular wires, continuously transposed conductors, rectangular enamelled wires, and bunched paper-insulated copper wires. These products are vital components in transformers, motors, alternators, and generators, serving diverse end-use industries such as power, renewables, industrials, railways, automotive (EV and ICE), home appliances, refrigeration, and air conditioning, ensuring reliability and performance across critical applications worldwide.
